상법‧공정거래법‧금융그룹감독법 제‧개정안 국무회의 의결

 Resolution of the State Council on the enactment and amendment of the Commercial and Fair Trade Act and the Financial Group Supervision Act

기업지배구조 개선과 공정한 시장질서 확립을 통해 공정경제 기반 대폭 확충

Significant expansion of the fair economy base by improving corporate governance and establishing a fair market order.

(전국= KTN) 김도형 기자= 정부는 『상법』 일부개정안, 『독점규제 및 공정거래에 관한 법률』(이하 “공정거래법”) 전부개정안, 『금융그룹의 감독에 관한 법률』(이하 “금융그룹감독법”) 제정안을 8월 25일 국무회의에서 의결했다.

(National = KTN) Reporter Kim Do-hyung: The government approved a partial revision of the Commercial Act, a complete revision of the Monopoly Regulation and Fair Trade Act (hereinafter referred to as the "Fair Trade Act") and the enactment of the Financial Group Supervision Act (hereinafter referred to as the "Financial Group Supervision Act") at a Cabinet meeting on August 25.

이번에 국무회의에서 의결한 이들 3법 제‧개정안은 ① 상법의 경우 ▲다중대표소송제 도입, ▲감사위원 분리선출제 도입 및 선임‧해임 규정 개선, ② 공정거래법의 경우 ▲전속고발제 폐지‧사인의 금지청구제 도입 등 법집행 체계 개편, ▲사익편취 규제 강화‧지주회사 지분율 요건 강화 등 기업집단 규율법제 개선, ③ 금융그룹감독법의 경우 ▲자산 5조원 이상 등의 요건을 갖춘 非지주 금융그룹을 감독대상으로 지정, ▲위험관리 체계 구축, 자본적정성 점검 등 금융그룹 감독방안 마련을 주요내용으로 담고 있다.

These three bills, which were approved by the Cabinet this time, include the introduction of a multi-representative litigation system in the case of the 1st Commercial Act, the introduction of a separate selection system for auditors, the improvement of the appointment and dismissal regulations, the abolition of the system for exclusive charges, the introduction of a request for the prohibition of autographs under the Fair Trade Act, the strengthening of regulations on private interests, and the financial supervision of the 3rd Group.

향후 이들 3법 제‧개정안이 국회를 통과‧시행되면, 기업지배구조가 개선되고, 대기업집단의 부당한 경제력 남용이 근절되며, 금융그룹의 재무건전성이 확보되는 등 공정경제의 제도적 기반이 대폭 확충될 것으로 기대된다.

If these three laws are passed and implemented by the National Assembly in the future, it is expected that the institutional base of the fair economy will be greatly expanded, with the improvement of corporate governance, the eradication of unfair abuse of economic power by large business groups, and the securing of financial soundness of financial groups.

정부는 국회 제출 이후에도 국회와 재계 등 이해관계자를 대상으로 법률의 제‧개정 취지와 내용 등을 설명하는 등, 이들 3법 제‧개정안이 조속히 국회를 통과‧시행되도록 노력을 지속해 나갈 계획이다.

The government plans to continue its efforts to pass and implement the three laws as soon as possible by explaining the purpose and contents of the enactment and revision of the law to stakeholders such as the National Assembly and the business community even after the submission of the bill to the National Assembly.
