판교서 ‘Dealmaker Academy 2차 세미나’… 글로벌 라이선스 계약·IP 조항·법무 협업 실무 공유

[한국유통신문= 김경록 기자] 한국바이오협회와 K-BD Network가 글로벌 사업개발(BD) 역량 강화를 위한 실무 세미나를 개최했다.

한국바이오협회는 K-BD Network와 공동으로 ‘Dealmaker Academy 2차 세미나’를 지난 15일 성남 판교 타운홀에서 개최했다고 19일 밝혔다.

이번 세미나는 산업통상자원부의 바이오 사업화 촉진 지원사업의 일환으로 마련됐으며, 글로벌 사업개발(BD) 분야 실무자 65명이 참석해 글로벌 라이선싱 계약을 중심으로 한 계약 실무 역량 강화에 초점을 맞췄다.

이날 세션에서는 글로벌 바이오 라이선스 계약 실무를 주제로 주요 영문 계약 사례를 기반으로 계약 검토 시 핵심 이슈와 리스크 관리 방안이 공유됐다. WL Law 이우진 변호사는 실제 계약서를 토대로 글로벌 라이선스 계약 구조와 주요 리스크 대응 전략을 설명했으며, Gemini Law LLP 김동석 변호사는 지식재산권(IP) 조항과 특허 분쟁 대응 전략 등 실무적 고려사항을 소개했다.

이어진 패널토론에서는 BD와 내·외부 법무팀 간 커뮤니케이션을 주제로 심도 있는 논의가 진행됐다. 좌장은 이우진 변호사와 아이디언스 안윤근 팀장이 맡았으며, 제일파마홀딩스 이주현 변호사, 콜마홀딩스 박효주 변호사, 성균관대학교 양원석 교수, GPCR 테라퓨틱스 임재혁 이사, 김동석 변호사가 패널로 참여했다.

패널들은 사전 수요조사를 통해 취합된 질문을 중심으로 글로벌 라이선싱 계약 과정에서 발생하는 다양한 실무 이슈와 의사결정 경험을 공유했다. 특히 BD와 법무팀 간 원활한 협업을 위해서는 계약의 전략적 필요성과 배경에 대한 충분한 이해와 소통이 중요하다는 데 의견을 같이했다.

참가자들은 이번 세미나를 통해 BD와 법무팀 간 관점 차이를 현실적으로 이해할 수 있었고, 실제 계약 구조와 주요 검토 포인트를 보다 명확히 파악하는 데 도움이 됐다고 평가했다.

황주리 한국바이오협회 대외협력본부장은 “글로벌 라이선싱 계약은 기술뿐 아니라 BD, 법무, IP, 사업 전략이 유기적으로 연결된 복합적 과정”이라며 “이번 세미나가 참가자들의 계약 구조 이해와 리스크 대응 역량을 높이는 계기가 되길 기대한다”고 말했다.

한편 한국바이오협회와 K-BD Network는 해외 진출 지원 플랫폼 ‘글로벌 밍글(Global Mingle)’ 프로그램의 일환으로 하반기에도 후속 세미나를 이어갈 계획이다. 올해 총 4회에 걸쳐 진행되는 해당 프로그램의 세부 일정과 참가 신청은 한국바이오협회 홈페이지를 통해 안내될 예정이다.

'Dealmaker Academy 2nd Seminar' in Pangyo... Sharing the practice of global licensing agreements, IP provisions, and legal cooperation

The Korea Bio Association announced on the 19th that it held the "Dealmaker Academy 2nd Seminar" in cooperation with the K-BD Network at Pangyo Town Hall in Seongnam on the 15th.

The seminar was organized as part of the Ministry of Trade, Industry and Energy's bio-commercialization support project, and 65 working-level officials in the global business development (BD) field attended to focus on strengthening contractual practical capabilities centered on global licensing contracts.

At the session, key issues and risk management measures were shared when reviewing contracts based on major English contract cases under the theme of global bio-licensing contract practice. Lawyer Lee Woo-jin of WL Law explained the structure of the global license agreement and major risk response strategies based on the actual contract, while lawyer Kim Dong-seok of Gemini Law LLP introduced practical considerations such as intellectual property (IP) provisions and patent dispute response strategies.

In the panel discussion that followed, in-depth discussions were held on the subject of communication between BD and internal and external legal teams. Lawyer Lee Woo-jin and team leader Ahn Yoon-geun of IDENS were in charge of the chair, while lawyer Lee Joo-hyun of Cheil Pharma Holdings, lawyer Park Hyo-joo of Kolmar Holdings, professor Yang Won-seok of Sungkyunkwan University, director Lim Jae-hyuk of GPCR Therapeutics, and lawyer Kim Dong-seok participated in the panel.

The panel shared various practical issues and decision-making experiences arising from the global licensing contract process, focusing on questions collected through a preliminary demand survey. In particular, they agreed that a sufficient understanding and communication of the strategic necessity and background of the contract is important for smooth collaboration between BD and the legal team.

Participants evaluated that the seminar allowed them to realistically understand the differences in perspectives between BD and the legal team, and helped them to more clearly grasp the actual contract structure and key points of review.

"Global licensing contracts are a complex process that organically connects not only technology but also BD, legal, IP, and business strategies," said Hwang Joo-ri, head of the Korea Bio Association's external cooperation division. "We hope this seminar will serve as an opportunity to enhance participants' understanding of contract structure and risk response capabilities."

Meanwhile, the Korea Bio Association and the K-BD Network plan to continue follow-up seminars in the second half of the year as part of the Global Single program, a support platform for overseas expansion. Detailed schedules and applications for participation in the program, which will be held four times this year, will be announced through the website of the Korea Bio Association.
